As the Corporate Legal Assistant General Counsel – Venture Capital, you will provide legal counsel on matters relating to the American Family enterprise’s venture capital investment activities and related matters. The Assistant General Counsel – Venture Capital will be the lead attorney on all day-to-day venture capital activities and operations, working closely with the AmFam Ventures team and other business partners. The primary focus of the position will be serving as the legal lead for AFV on its venture capital investments but will also include a variety of legal matters related to pooled investment fund operations. The position will be part of the Corporate Legal Team and you will report to the Director, Legal.

Primary Accountabilities

  • You will draft and review legal documentation for investment and related transactions.

  • You will supervise outside counsel to assist with initiatives, transactions and regulatory matters.

  • You will provide legal services and participate in development of business and enterprise strategies.

  • You will analyze legal questions, conduct legal research, and advise the business and management on legal matters.

  • You will balance risk with underlying business need to provide legal recommendations to internal clients in a timely manner.

  • You will stay abreast of proposed and current legislation and regulations that could impact the business.

Qualifications:

  • Admission to the State Bar in the state where you are located or eligibility for admission to the bar and obtaining admission within a year of hiring.

  • Juris Doctor.

  • Experience with NVCA model documents, corporate capitalization tables, fund and entity structuring and formation, pooled investment fund operations, and venture capital compensation and benefits.

  • Insurance industry experience is a plus, as is a solid understanding of tax, finance, and accounting issues faced by pooled investment funds.

In this flex office/home role, you will be expected to work 10 days per month from one of the following office locations: Madison, WI 53783; Boston, MA 02110; Chicago, IL 60601*; Denver, CO 80112; Eden Prairie, MN 55343; Keene, NH 03431; St. Joseph, MO 64507; Phoenix, AZ 85034; Nashville, TN 37214. Candidates must reside within a 50-mile radius of the office location (or 35-mile radius for Boston / Chicago).
